Leasing Rights Licence & Contract

This License agreement is made on 2019-11-23 by and between Licensee and Licensor Sybil Amber & Sybil.Muzak at https://sybil.site . Licensor warrants that it controls the mechanical rights in and to the musical work (“Composition”) being sold to Licensee as of and prior to the Effective Date. Licensor warrants that it is the Composer/Songwriter/Author and can produce the original material in which the Sound Recording/Beat was made. The Licensee and Licensor have agreed to the following terms:

1. Master Use. The Licensor hereby grants to Licensee a non-exclusive License to record vocal synchronization to the Composition partly or in its entirety and substantially in its original form (“Master Recording”).

2. Mechanical Rights. The Licensor hereby grants to Licensee a non-exclusive License to use Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disks, internet downloads, other and miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively ”Recordings”) worldwide for up to the pressing or selling a total of Bronze Leased Beatz, Silver Premium Beatz & Gold Exclusive Beatz copies of such Recordings or any combination of such Recordings.

3. Performance Rights. The Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site hereby grant to Licensee a non-exclusive License to use the Master Recording in unlimited non-profit performances, shows, or concerts. The Licensee is also permitted to earn up to one thousand ($1,000) US Dollars in compensation or ticket sales using the Master Recording in said non-profit performances, shows, or concerts.

4. Synchronization Rights. The Licensor hereby grants to Licensee a non-exclusive License to copy, perform, edit and/or loop portions of, record on film, video, digital animations, and video games (collectively, “Projects”) and use the Master Recording in synchronization or timed relation with the productions according to the defined Bronze Leased Beatz,  Silver Premium Beatz, and Gold Exclusive Beatz by Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site.

5. Broadcast Rights. The Licensor hereby grants to Licensee a non-exclusive license to broadcast or air the Master Recording according to the rules in Bronze Leased Beatz, Silver Premium Beatz, and Gold Exclusive Beatz by Licensor Sybil Amber & Sybil.Muzak at https://sybil.site.

6. Credit. Licensee shall acknowledge the original authorship and intellectual property of the Composition appropriately and reasonably in all media and performance formats by acknowledging the relevant Author,  Composer, and Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site in writing where possible and vocally otherwise. Where a project is commercially released and registered with a performance rights organisation, Licensor shall be acknowledged as a Writer, Composer and Author registered and member of AKM- AUME https://https://www.akm-aume.at/ and Musikergilde https://www.musikergilde.at/. Rights for videos and fotos, pictures are regulated here VAM  https://www.vam.cc/.

7. Sampling. The Licensee agrees that the Composition is purchased as a “Work Made for Hire” whereby the clearing of any sampled materials is the responsibility of Licensee.

8. Compensation. Payment for this License is non-refundable. If the Licensee fails to account to the Licensor, timely and complete the payments provided for hereunder, the Licensor shall have the right to terminate this License upon written notice to the Licensee. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable as infringements under applicable law.

9. Term. Executed by the Licensor and the Licensee, this License agreement is to be effective as for all purposes as of the Effective Date and shall not expire. In the event that an exclusive license is sold by Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site to the Composition, the terms of this agreement shall be upheld. Terms maybe adjusted and changed according to special reasons, like new circumstances of lease.

10. Indemnification. Licensee agrees to indemnify and hold Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site harmless from and against any and all claims, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.

11. Miscellaneous. This License is non-transferable and is limited to the Composition specified, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both Licensor and Licensee and their respective successors, assigns, and legal representatives.

12. Governing Law. This License is governed by and shall be construed under the laws of the Licensor’s resident country (Austria), without regard to the conflicts of laws and principles thereof. Composition purchased: Title of Production/Project Signatures: (insert your own signature with date and leave a field for the Licensee to leave his or her).

Bronze Leased Beatz

Bronze Leased Beatz may be downloaded instantly and used under the Bronze Leased Beatz Licence Agreement. Production Credits go to Sybil & Producer Sybil.Muzak.

Diamond Exclusive Rights Licence & Contract

Licensor warrants that it is the Composer/Songwriter/Author and can produce the original material in which the Sound Recording/Beat was made. All licenses are non-refundable and non-transferable.The Licensee and Licensor have agreed to the following terms:

Independently sell unlimited copies

Must give Credits to Sybil & Sybil.Muzak

Diamond Exclusive Rights allow the Licensee to use the Instrumental for unlimited commercial recordings or broadcasts. The Licensor has full rights to record, alter, mix the Instrumental in any shape, way, or form except reselling the Instrumental, the Trackout, the specified Diamond Exclusive Beatz production. The Licensee must give full credit to the Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site as on all commercial recordings. Upon purchasing Diamond Exclusive Rights, the Licensor still owns copyright to the Instrumental, Trackout, and Diamond Exclusive Beatz, but is no longer able to resell the Instrumental.

Diamond Exclusive Beatz & Instrumentals

Diamond Exclusive Beatz, Instrumentals and Trackouts are delivered upon order and communication starting at $1000,-, including an Diamond Exclusive Rights Licence & Contract and upon agreement. Production Credits go to Sybil & Sybil.Muzak.

Specifications

This License agreement is made on 2019-11-23 by and between Licensee and Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site. Licensor warrants that it controls the mechanical rights in and to the musical work (“Composition”) being sold to Licensee as of and prior to the Effective Date. The Licensee and Licensor have agreed to the following terms:

1. Master Use. The Licensor hereby grants to Licensee an exclusive License to record vocal synchronization to the Composition partly or in its entirety and substantially in its original form (“Master Recording”). The Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site guarantees that the Composition will not be sold on to any third parties.

2. Mechanical Rights. The Licensor hereby grants to Licensee an exclusive License to use Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disks, internet downloads, other and miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively ,”Recordings”) worldwide for the pressing or selling of unlimited copies of such Recordings or any combination of such Recordings.

3. Performance Rights. The Licensor hereby grants to Licensee an exclusive License to use the Master Recording in unlimited non-profit performances, shows, or concerts. The Licensee is also permitted to earn an unlimited fee in compensation for ticket sales using the Master Recording in Diamond Exclusive Beatz performances. Additionally licensee shall be permitted to distribute unlimited internet downloads for non-profit and non-commercial use.

3. a Royalties. The Licensee is entitled to keep 100% of all royalties that is generated from sales of the Master Recording on digital retailers (such as iTunes), through physical sales (such as Compact Disks) and on online streaming services (such as Spotify). The licensee is only required to share royalties for synchronization licenses (works that are placed on television shows, film, advertisements, video games, movie trailers, etc.).

4. Synchronization Rights. The Licensor hereby grants to Licensee an exclusive License to copy, perform, edit and/or loop portions of, record on film, video, digital animations, and video games (collectively, “Projects”) and use the Master Recording in synchronization or timed relation with the productions in unlimited Projects.

5. Broadcast Rights. The Licensor hereby grants to Licensee an exclusive license to broadcast or air the Master Recording on an unlimited number of radio stations or station channels, respectively.

6. Credit. Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats by acknowledging the relevant author Author, Producer and Composer, Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site in writing where possible and vocally otherwise. Where a project is commercially released and registered with a performance rights organisation, Licensor shall be acknowledged as a Writer, Author, and/or Composer registered and member of AKM-AUME https://akm-aume.at and Musikergilde https://musikergilde.at.

Licensee agrees to indemnify and hold Licensor Sybil Amber & Producer Sybil.Muzak at https://sybil.site harmless from and against any and all claims, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.

11. Miscellaneous. This License is non-transferable and is limited to the Composition specified, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both Licensor and Licensee and their respective successors, assigns, and legal representatives.

a. Licensee must supply the Licensor with at least 1 copy of each final recording made using the Diamond Exclusive & TrackOut, or Instrumental.

b. Licensee must include credits to Licensor on all physical media containing a portion or sum of the Instrumental that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, Cards, Mixtapes, Websites, etc.

c. Licensee must contact and inform Licensor of CD sales if the Instrumental is used for commercial purposes with a record label with gross revenue of over $1,000,000, the Licensor must receive credit for the Diamond Exclusive Beatz, TrackOut or Instrumental, unless agreed upon otherwise by the two parties.

12. Governing Law. This License is governed by and shall be construed under the laws of the Licensor’s resident country (Austria), without regard to the conflicts of laws and principles thereof.

Synchronization Rights only under Music Video Content ID License for YouTube, Vimeo and other music video platforms for Free Beatz and Beatz purchases

If you upload any video to YouTube, etc., that has a beat that you either downloaded for free or a beat that you purchased a beat license to, it will be claimed from Composer, Writer, Author, Performer Sybil Amber & Producer Sybil.Muzak at https://sybil.site. In order for that claim to be released, you will need to purchase a Music Video Content ID License.

Non-Exclusive Beatz Leases does not qualify for a YouTube monetization. If you purchase a beat non exclusively and desire to upload it to your music video channel to be monetized, you will need to acquire the ownership rights – Diamond Exclusive Beatz Rights – to the beat if the beat hasn’t been sold.
